Payment Terms and Conditions

PLEASE READ THESE PAYMENT TERMS AND CONDITIONS ("TERMS") CAREFULLY AND BE SURE THAT YOU UNDERSTAND THEM BEFORE YOU PURCHASE A PLATFORM TIER SERVICE WITH STASH FINANCIAL, INC. AND ITS AFFILIATES ("STASH", "WE", "US", OR "OUR"). THESE TERMS SUPPLEMENT, AND SHOULD BE READ IN CONJUNCTION WITH, THE STASH INVESTMENTS LLC ADVISORY AGREEMENT. THESE TERMS MAY ALSO BE VIEWED AT www.stash.com/DISCLOSURELIBRARY. DEFINED TERMS USED BUT NOT OTHERWISE DEFINED HEREIN SHALL HAVE THE MEANINGS ASCRIBED TO THEM IN THE ADVISORY AGREEMENT.

By electing to receive services through a Platform Tier Service (as defined in the Advisory Agreement), you agree to pay the Stash Fee associated with the applicable Platform Tier Service as further described in Section 11 ("Fees") of the Advisory Agreement . You may elect to pay your Stash Fee on a monthly basis in advance ("Monthly Payment") or on a yearly basis in advance ("Yearly Payment"), in each case subject to these Terms and as further described below.

You agree and acknowledge that you are responsible for paying any and all fees, including, without limitation, the Stash Fee, that you owe pursuant to these Terms and the Advisory Agreement. You are responsible for maintaining complete and accurate billing and contact information with Stash. You acknowledge that such fees may change from time to time and will be available on the Stash Website, www.stash.com (the “Website”) and in the Advisory Agreement. In the event of a change in fees, Stash will provide you notice electronically on the Website. You agree to check the Website from time to time for updates to the fees applicable to you. Stash reserves the right to discount or waive any fees associated with the Platform Tier Service in its sole discretion.

Monthly Payment

By selecting the option to make a Monthly Payment, you agree to an initial and recurring payment of the Stash Fee at the then-current Stash Fee rate applicable to the Platform Tier Service you select, and you accept responsibility for all recurring charges prior to cancellation, including where applicable any charges processed by Stash after the expiration of your payment card. Once you select the option to make a Monthly Payment, Stash will automatically renew your Monthly Payment for each successive monthly period. Stash will continue to automatically process your Monthly Payment each month and you will be charged for each successive monthly period at the then-current Stash Fee rate until you cancel your Platform Tier Service in accordance with the Advisory Agreement.

Yearly Payment

By selecting the option to make a Yearly Payment, you agree to make an initial pre-payment for twelve (12) months in full and in advance of the Stash Fee at the then-current Stash Fee rate applicable to the Platform Tier Service you select, and you accept responsibility for all recurring charges until you cancel your Platform Tier Service. After one (1) year, and yearly thereafter, you will be automatically billed a recurring Yearly Payment renewal fee for twelve (12) months in full and in advance at the then-current Stash Fee rate applicable to the Platform Tier you have selected. We will notify you before the Yearly Payment renewal fee is billed. Stash will continue to automatically process your Yearly Payment each year for twelve (12) months in full and in advance at the then-current Stash Fee rate until you cancel your Platform Tier Service in accordance with the Advisory Agreement.

Payment Terms

With respect to a Platform Tier Service, you agree that once you have expressly agreed for your Stash Fee to be charged on a recurring basis, and agreed to the amount of the recurring charges, Stash may submit periodic charges (e.g., monthly or yearly) to your eligible payment method without further authorization from you, until you provide prior notice at any time that you wish to terminate the authorization or to change your payment method. You agree that such notice will not affect charges submitted before Stash reasonably could act. Information on how to close your account is described below.

Account Closure and Refunds

To close one or more of your Stash Accounts, and/or your Platform Tier Service (if applicable) at any time, you may (i) contact Stash at (800) 205-5164, or (ii) send an e-mail to [email protected]. Stash may close one or more of your Stash Accounts, and/or your Platform Tier Service (if applicable) at any time for any reason by sending you a notice of termination by e-mail, by mail or other means of notification via the Platform.

In the event of the closure of your Platform Tier Service and termination of the Advisory Agreement, Stash shall refund any and all pre-paid fees in excess of $0.50, which is retained to cover administrative costs related to closing the account(s) including, but not limited to, data entry on the part of employees of Stash. Unearned pre-paid fees will be calculated and refunded based upon the number of days remaining in the applicable billing month (e.g., the number of days remaining in the calendar month in which the Stash Account is closed or Platform Tier Service is cancelled) and any whole months that remain prepaid. The number of days in each billing period in respect of which payment is being made is calculated on the basis of a year of 360 days with 12 30-day months.

Payment Methods

You may elect to pay your Monthly Payment or Yearly Payment from one of either your Stash Account or your Funding Account, as described in the Advisory Agreement, or by certain debit or credit cards as further described below.

    i. Payment via Stash Account or Funding Account

As described in the Advisory Agreement, Stash generally deducts the Stash Fee from either the free cash balance in your Stash Account or from your Funding Account; however, Stash may, as necessary and in its sole discretion, sell securities in your Stash Account to generate free cash in order to deduct the Stash Fee. As described in the Advisory Agreement, if applicable, your Stash-branded demand deposit account, which is provided by Green Dot Bank, Member FDIC, and provided to you pursuant to the terms and conditions of the Green Dot Bank Deposit Account Agreement, is a Funding Account for purposes of the Advisory Agreement and these Terms.

    ii. Payment via Debit or Credit Card

Stash accepts debit or credit cards for your convenience for the purpose of making your Stash Fee payments (a “Card Payment”). Debit or credit cards displaying the following brands on the front of the card can be used for a Card Payment: Visa, Mastercard, and Discover Network. Stash may process a Card Payment through Visa, Mastercard, Discover, STAR, NYCE, PULSE, or Accel (each a “Payment Network”). Stash may accept additional brands of debit or credit cards as it may permit from time to time and also may determine in its sole discretion to not accept one or more brands of debit or credit cards from time to time and at any time. Regardless of the Payment Network used to process your Card Payment, you need to enter your card number, expiration date, security code from the back of your card (the CVV or CVC), and address (including ZIP code) where you receive your debit or credit card statement (collectively, “Card Information”). By entering your Card Information, you authorize Stash to charge the Stash Fee you owe pursuant to and in accordance with your account opening agreements and these Terms.

Stash does not currently charge any fees for making a Card Payment. We reserve the right, however, to impose fees for making a Card Payment in the future and will provide you notice of any such change. Your financial institution may charge you a fee for making a Card Payment.

Stash engages a third-party institution, TabaPay, Inc. (“TabaPay”), to enable the Card Payment feature. By choosing to pay your Stash Fee via a Card Payment, you authorize us to send your personal information, including but not limited to the Card Information, to Tabapay for the purpose of facilitating the Card Payment. Any such personal information may be collected and processed by Tabapay pursuant to the terms and conditions of their privacy policies and terms of use.

If all eligible payment methods you provide are declined for payment of your Stash Fee, you must provide us a new eligible payment method promptly or your payment will be cancelled. If you provide us with a new eligible payment method and are successfully charged, your Platform Tier Service renewal date will be based on the original renewal date and not the date of the successful charge.
